1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you and OVID Technologies Private Limited ("Company", "we", "us", or "our"). By accessing and using TyreSoftware (the "Service"), you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions herein.

If you do not agree with any part of these Terms, you may not use the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Use License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for lawful purposes in accordance with these Terms. You agree not to:

  • Reproduce, duplicate, copy, or resell any portion of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service

The Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by the Company, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for the purposes of providing and improving the Service.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party intellectual property rights

7. Free Trial Terms

If you sign up for a free trial of the Service:

  • The trial period is for 14 days unless otherwise specified
  • No credit card is required to start the trial
  • At the end of the trial period, your account will be suspended unless you upgrade to a paid plan
  • We may send reminders before the trial period ends
  • The trial is intended for single-use and cannot be repeated

8. Payment and Billing

If you choose to purchase a paid plan:

  • You agree to pay all charges associated with your plan
  • All fees are exclusive of applicable taxes unless stated otherwise
  • Payment is due in advance of service delivery
  • We reserve the right to change pricing with 30 days' notice
  • Refunds are subject to our Refund Policy

9. Changes to Terms and Service

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

We also reserve the right to modify or discontinue the Service at any time, with or without notice. We shall not be liable to you or any third party for any modifications or discontinuance of the Service.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts located in Visakhapatnam, Andhra Pradesh, India.
